1. Introduction

Europe Digital provides software and related services intended to support document workflows, password and credential management, digital security and everyday digital work.

Our products currently include:

Europe Digital PDF Editor
Europe Digital Password Manager
Business versions and related business functionality of these products
Related websites, documentation, support resources and services

Product availability, functionality and supported platforms may vary by product, plan, operating system and applicable region.

These Terms apply to your use of Europe Digital products and services unless a separate written agreement expressly applies to a particular product or business relationship.

2. Definitions

For purposes of these Terms:

2.1 "Europe Digital"

"Europe Digital" means the company legally named Europe Digital, including its applicable products, services, websites and authorized representatives.

2.2 "Products"

"Products" means Europe Digital software applications and related products made available to you, including PDF Editor and Password Manager.

2.3 "Services"

"Services" means websites, support services, documentation, account functionality, product services and other services made available by Europe Digital.

2.4 "User"

"User", "you" or "your" means the individual accessing or using a Product or Service.

2.5 "Business Customer"

"Business Customer" means an organization or individual using a Product primarily for business, professional or organizational purposes.

2.6 "Personal Customer"

"Personal Customer" means an individual using a Product primarily outside their trade, business or profession.

2.7 "Account"

"Account" means an account or user profile created to access functionality that requires account registration.

2.8 "Content"

"Content" means documents, files, passwords, credentials, notes, information or other material submitted, created, stored, processed or otherwise handled by a User through a Product.

3. Eligibility and Accounts

3.1 Eligibility

You may use Europe Digital Products only where permitted by applicable law.

You are responsible for ensuring that your use of the Products complies with applicable laws and regulations.

3.2 Account Information

Where an Account is required, you agree to provide accurate and reasonably current information.

You should update information when necessary to keep your Account information accurate.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for activities performed through your Account, except to the extent that applicable law provides otherwise.

You should promptly notify Europe Digital if you believe that your Account has been accessed without authorization.

3.4 Business Accounts

Where a Business Customer provides access to employees, contractors or other authorized users, the Business Customer is responsible for managing those users in accordance with the applicable Product functionality and its own organizational requirements.

3.5 Credentials

You must not knowingly share your account credentials with unauthorized individuals or permit another person to access your Account in a manner that violates these Terms or the applicable Product terms.

4. Products and Services

4.1 PDF Editor

Europe Digital PDF Editor provides functionality for working with PDF documents, which may include editing, creating, converting, organizing, signing, annotating, protecting and managing PDF files.

Product functionality may vary by version, operating system and plan.

4.2 Password Manager

Europe Digital Password Manager provides functionality intended to help users manage passwords, credentials, secure information and related digital access.

Product functionality may vary by version, operating system and plan.

4.3 Product Changes

We may improve, update, modify or discontinue particular features or functionality where reasonably necessary for product development, security, legal compliance, technical requirements or other legitimate business purposes.

Where applicable law requires notice, consent, continued access or another remedy, we will comply with those requirements.

4.4 Supported Platforms

Europe Digital products are designed for supported versions of Windows and macOS.

You are responsible for maintaining compatible hardware, operating-system versions and other requirements necessary to use the Product.

5. Product Licenses

5.1 License Grant

Subject to these Terms and your applicable purchase or subscription terms, Europe Digital grants you a limited, non-exclusive, non-transferable license to use the applicable Product for its intended purpose.

The license applies only for the period and scope for which you have valid rights to use the Product.

5.2 License Restrictions

Unless expressly permitted by applicable law or by Europe Digital in writing, you must not:

copy the Product except as permitted by law or the applicable license;
sell, sublicense, rent or lease the Product;
distribute unauthorized copies of the Product;
reverse engineer the Product except where such restriction is prohibited by applicable law;
attempt to obtain source code from the Product except where legally permitted;
remove proprietary notices;
circumvent technical restrictions intended to enforce licensing;
use the Product to develop an unauthorized competing product;
use the Product in violation of applicable law.

5.3 Personal Use

Where a Product or plan is designated for personal use, you must use it in accordance with the applicable license terms.

5.4 Business Use

Business Customers must ensure that Product access is limited to authorized users covered by their applicable license or plan.

5.5 Ownership

Europe Digital and its licensors retain all rights, title and interest in the Products, Services, software, documentation, trademarks and related intellectual property except for rights expressly granted to you under these Terms.

These Terms do not transfer ownership of Europe Digital intellectual property to you.

6. Purchases, Pricing and Payments

6.1 Pricing

Applicable prices will be presented through the relevant purchasing process.

Prices may vary according to:

Product;
plan;
number of users or licenses;
billing period;
applicable taxes;
region or currency;
promotional pricing, where offered.

6.2 Orders

An order becomes binding according to the applicable purchasing process and applicable law.

Europe Digital may need to verify or reject an order where reasonably necessary, including where there is an obvious pricing or technical error, suspected fraud, payment failure or other legitimate reason permitted by law.

6.3 Payment

You agree to provide valid payment information where payment is required.

You authorize the applicable payment provider or Europe Digital, as applicable, to process the amount associated with your purchase.

6.4 Taxes

Applicable taxes, duties or similar charges may be added where required by applicable law.

The applicable amount will be presented during the purchasing process where reasonably possible.

6.5 Renewals

If a Product or plan is sold on a recurring basis, the applicable checkout or order terms will explain the renewal arrangement.

Europe Digital will not treat a purchase as recurring unless the applicable commercial terms clearly provide for recurring payment.

6.6 Refunds and Consumer Rights

Refunds are subject to applicable law and any specific refund policy communicated at the time of purchase.

Nothing in these Terms removes mandatory statutory consumer rights.

For consumers in the European Union, consumer rules may provide rights concerning digital content and digital services, including remedies where digital content or services do not conform to applicable requirements.

Where a statutory right of withdrawal applies, the applicable withdrawal rules and any legally permitted exceptions will apply.

For digital content supplied immediately after purchase, any waiver or loss of a withdrawal right will only be relied upon where the applicable legal requirements for doing so have been satisfied.

The final purchase and withdrawal process should be reviewed against the applicable jurisdiction before publication.

7. No Free Trial

Europe Digital does not offer a free trial unless a particular Product or promotion expressly states otherwise.

Where a promotional offer is provided, the terms applicable to that offer will be presented with the offer.

8. User Responsibilities

You agree to use Europe Digital Products responsibly and lawfully.

You are responsible for:

complying with applicable laws;
maintaining appropriate access to your Account;
protecting your credentials;
maintaining appropriate backups of important Content where necessary;
ensuring that you have appropriate rights to Content you process through the Product;
ensuring that your use of the Product does not violate another person's rights.

Europe Digital is not responsible for determining whether you have the necessary rights to documents, credentials, files or other Content that you process using a Product.

9. Acceptable Use

You must not use Europe Digital Products to:

violate applicable law;
infringe intellectual-property rights;
facilitate fraud or unauthorized access;
distribute malicious software;
interfere with the operation of the Product;
circumvent licensing restrictions;
attempt unauthorized access to systems or Accounts;
abuse support or other services;
intentionally introduce harmful code into systems;
use the Product for activities prohibited by applicable law.

Europe Digital may take reasonable action where it has a legitimate basis to believe that use of a Product violates these Terms or applicable law.

Any suspension or termination will remain subject to applicable legal rights and contractual obligations.

10. User Content

10.1 Ownership

You retain your rights in Content that you provide or process through the Products, subject to any rights you separately grant to Europe Digital or its service providers where necessary to provide the Services.

10.2 Responsibility for Content

You are responsible for Content that you upload, create, store, process or otherwise use through the Products.

You must ensure that you have the necessary rights and permissions to use that Content.

10.3 Product Processing

Depending on the Product and functionality used, Content may be processed locally on your device or through applicable services.

The applicable Product documentation and Privacy Policy provide additional information where relevant.

10.4 No Unnecessary Ownership Transfer

Use of a Europe Digital Product does not by itself transfer ownership of your Content to Europe Digital.

11. Intellectual Property

11.1 Europe Digital Property

All rights in Europe Digital Products and Services, including software, interfaces, designs, documentation, logos, trademarks and other proprietary materials, belong to Europe Digital or its licensors unless otherwise stated.

11.2 Trademarks

Europe Digital names, logos and trademarks may not be used without appropriate authorization.

Nothing in these Terms grants a license to use Europe Digital trademarks.

11.3 Feedback

If you voluntarily provide suggestions, feedback or ideas concerning a Product, Europe Digital may use that feedback to improve its Products and Services, subject to applicable law.

Providing feedback does not transfer ownership of your existing intellectual property to Europe Digital.

12. Privacy and Data Protection

Your use of Europe Digital Products may involve the processing of personal data.

The applicable Privacy Policy explains how Europe Digital handles personal data.

Where Europe Digital processes personal data on behalf of a Business Customer, additional contractual terms may apply depending on the Product, relationship and applicable legal requirements.

Nothing in these Terms is intended to replace a separately applicable Data Processing Agreement where one is required.

13. Security

Europe Digital considers security and responsible information handling when developing and operating its Products.

Information about our general security approach is available at the pages below.

Users are responsible for taking reasonable steps to protect their own Accounts, devices and credentials.

No software or online service can reasonably be represented as completely free from every possible security risk. Europe Digital will address security matters in accordance with its applicable practices and legal obligations.

14. Third-Party Services

Products or Services may interact with third-party software, operating-system functionality or services.

Third-party services may be subject to separate terms and privacy policies.

Europe Digital is not responsible for terms, policies or functionality controlled exclusively by an independent third party.

Where a third-party service is necessary for a particular Product feature, the applicable Product documentation or purchasing information may provide additional information.

15. Product Availability and Changes

15.1 Availability

We aim to provide reliable access to our websites and applicable Services, but availability may be affected by maintenance, technical problems, third-party dependencies, network conditions or circumstances outside our reasonable control.

We do not provide an uptime guarantee unless expressly agreed in writing.

15.2 Maintenance

We may temporarily restrict access to a Product or Service where necessary for maintenance, security, upgrades or other operational reasons.

15.3 Product Changes

We may modify Product functionality as part of product development.

Where a change materially affects a consumer's contractual rights, any legally required notice, remedy or other protection will apply.

15.4 Discontinuation

If a Product or Service is discontinued, Europe Digital will take account of applicable contractual and consumer-law obligations.

Nothing in this section limits mandatory rights available under applicable law.

16. Updates

Products may require updates to maintain functionality, compatibility, security or other operational requirements.

You are responsible for installing updates where necessary and maintaining a supported operating-system environment.

Some updates may be required for continued operation of a Product.

17. Support

Europe Digital may provide product documentation, help resources or customer support depending on the applicable Product or plan.

Support availability and response times may vary by Product and plan.

Unless expressly agreed in a separate written agreement, these Terms do not create a guaranteed support response time or service-level commitment.

18. Disclaimers

To the maximum extent permitted by applicable law, Products and Services are provided according to their applicable descriptions and contractual terms.

Europe Digital does not guarantee that every Product will:

operate without interruption;
operate on every device or operating-system version;
remain unchanged indefinitely;
satisfy every individual or business requirement;
be compatible with every third-party product or service.

However, nothing in these Terms excludes or limits statutory consumer rights or mandatory legal warranties that cannot lawfully be excluded.

For consumers, standard contractual terms must be fair and transparent; unfair terms may not be binding under applicable EU consumer law.

19. Limitation of Liability

To the maximum extent permitted by applicable law, Europe Digital will not be liable for indirect, incidental, special or consequential losses arising from use of a Product or Service where such exclusion is legally permitted.

This may include losses such as:

loss of anticipated business opportunity;
loss of profits;
loss of goodwill;
loss of business interruption;
loss arising from third-party services.

However, this section does not exclude or limit liability where such exclusion or limitation is prohibited by applicable law.

Nothing in these Terms limits liability for matters that cannot legally be limited or excluded.

For consumers, any limitation must be interpreted consistently with mandatory consumer protections applicable to the contract.

20. Indemnification

To the extent permitted by applicable law, a Business Customer may be responsible for claims arising from its unlawful use of the Products or its violation of these Terms.

Any indemnification obligations should be interpreted subject to applicable law and the nature of the relationship between the parties.

Any final indemnification clause should be reviewed by the company's legal counsel before publication, particularly for consumer contracts.

21. Suspension and Termination

21.1 Suspension

Europe Digital may restrict or suspend access where reasonably necessary to:

protect security;
investigate suspected abuse;
address unlawful activity;
prevent unauthorized access;
comply with legal obligations;
address material contractual violations.

Where required by applicable law, we will provide appropriate notice or opportunity to remedy the issue.

21.2 Termination by User

You may stop using a Product at any time.

Where a paid contract or subscription applies, cancellation and termination rights are governed by the applicable purchase terms and mandatory law.

21.3 Termination by Europe Digital

Europe Digital may terminate or suspend contractual access where permitted by the applicable agreement and law.

For consumer contracts, mandatory statutory protections remain applicable.

21.4 Effect of Termination

After termination, your right to use the applicable Product may end.

Any provisions that by their nature should continue after termination may remain applicable, including provisions relating to intellectual property, liability, dispute resolution and other continuing obligations.

Where Content is stored through a Europe Digital service, applicable deletion, export and retention requirements will be governed by the relevant Product terms and Privacy Policy.

22. Changes to These Terms

Europe Digital may update these Terms from time to time.

Changes may be made where necessary because of:

changes to Products;
changes to Services;
legal or regulatory requirements;
security requirements;
business or operational changes.

The updated version will include a revised "Last Updated" date.

Where applicable law requires additional notice or consent for a material contractual change, Europe Digital will follow the applicable requirements.

Your continued use of the applicable Product after an effective change may constitute acceptance only where permitted by applicable law.

23. Governing Law and Jurisdiction

These Terms and your use of the Products and Services are governed by and construed in accordance with the laws of India, subject to any mandatory rights and protections available to consumers under applicable law.

Any dispute arising out of or relating to these Terms, the Products, or the Services shall be subject to the jurisdiction of the competent courts in New Delhi, India, subject to applicable law and any mandatory consumer rights.

24. Consumer Rights

Nothing in these Terms is intended to restrict rights granted to consumers by mandatory applicable law.

Depending on the user's location and the nature of the transaction, consumer law may provide rights concerning:

pre-contract information;
withdrawal from certain distance contracts;
digital-content conformity;
digital-service conformity;
remedies;
refunds;
termination;
unfair contractual terms.

EU rules specifically provide a framework for consumer information and withdrawal rights, while EU digital-contract rules provide remedies concerning faulty digital content and digital services.

Mandatory consumer protections take precedence over any conflicting contractual provision to the extent required by law.

25. Business Customers

Where you use Europe Digital Products for business purposes, additional terms may apply.

Business Customers are responsible for:

selecting an appropriate Product and plan;
managing authorized users;
maintaining appropriate account access;
complying with applicable organizational policies;
ensuring that their use of the Product complies with applicable law.

Where a separate written agreement exists between Europe Digital and a Business Customer, that agreement may take precedence over these Terms to the extent expressly stated.

26. Enterprise Agreements

Enterprise customers may enter into a separate written agreement with Europe Digital.

Such an agreement may contain additional provisions concerning:

licensing;
users;
deployment;
support;
security;
data processing;
commercial terms;
service commitments.

Where a separate enterprise agreement conflicts with these Terms, the enterprise agreement will control to the extent expressly provided in that agreement.

27. Assignment

You may not transfer your contractual rights or obligations under these Terms where such transfer is prohibited by applicable law or requires Europe Digital's consent.

Europe Digital may transfer or assign its rights or obligations where permitted by applicable law, including in connection with a corporate restructuring, merger, acquisition or transfer of relevant business assets.

Where applicable law requires notice or consent, the applicable requirements will be followed.

28. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be interpreted or modified to the minimum extent necessary where legally permitted.

The remaining provisions will remain effective to the extent permitted by applicable law.

For consumer contracts, an unfair or non-binding provision does not necessarily invalidate the remaining contract where applicable law provides otherwise. EU consumer rules specifically address the treatment of unfair standard terms.

29. No Waiver

Failure by either party to enforce a provision of these Terms does not constitute a waiver of that provision unless the applicable law requires otherwise.

A waiver must be interpreted only to the extent expressly provided.

30. Entire Agreement

These Terms, together with any applicable Product-specific terms, purchase terms, Privacy Policy and separately executed agreements, constitute the applicable agreement concerning your use of the relevant Product or Service, except where a separate agreement expressly governs the relationship.

If there is a conflict between documents, the applicable priority should be determined as follows:

mandatory applicable law;
separately executed agreement, where applicable;
applicable Product or order-specific terms;
these Terms;
other general website information.

This hierarchy should be reviewed by legal counsel before publication.

31. Notices

Where Europe Digital is required to provide contractual notices, notices may be provided through appropriate channels, including:

email;
the Product;
the website;
account notifications;
other legally appropriate communication methods.

The final notice method and any legally required notice period should be confirmed before publication.
